1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and GoXylo ("Company", "we", "our", "us") governing your access to and use of the goxylo.com website and our software-as-a-service platform (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

GoXylo provides a cloud-based business management platform that includes website building, CRM, invoicing, e-commerce, email marketing, and other business tools. The specific features available to you depend on your subscription plan.

3. Account Registration

3.1 Account Creation

To use certain features of the Service, you must create an account. You agree to:

• Maintain and promptly update your account information
• Keep your password secure and confidential
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

3.2 Account Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. By using the Service, you represent that you meet these requirements.

4. Subscription Plans and Payment

4.1 Subscription Plans

We offer various subscription plans (Starter, Growth, Pro) with different features and pricing. The specific terms of your subscription are described on our pricing page and in your order confirmation.

4.2 Fees and Billing

• Subscription fees are billed in advance on a monthly basis
• All fees are non-refundable except as expressly stated in these Terms
• We may change our fees with 30 days notice
• You are responsible for all applicable taxes

4.3 Promotional Pricing

Promotional prices (such as "$1 First Month") apply only to the initial promotional period. After the promotional period, your subscription will renew at the standard rate unless you cancel before the renewal date.

4.4 Automatic Renewal

Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You authorize us to charge your payment method for the renewal.

4.5 Cancellation

You may cancel your subscription at any time through your account settings or by contacting support. Cancellation will take effect at the end of your current billing period. You will retain access to the Service until then.

5. License and Usage Rights

5.1 License Grant

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during your subscription period.

5.2 Restrictions

You agree not to:

• Copy, modify, or distribute the Service or its content
• Reverse engineer, decompile, or disassemble the Service
• Rent, lease, or lend the Service to third parties
• Use the Service for any illegal purpose
• Attempt to gain unauthorized access to the Service
• Interfere with or disrupt the Service

6. Your Content

You retain ownership of all content you upload, create, or store using the Service ("Your Content"). We do not claim ownership of Your Content.

9. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:

12.2 Termination by Us

We may suspend or terminate your account immediately if you:

• Engage in fraudulent or illegal activity
• Fail to pay applicable fees
• Pose a risk to other users or the Service

12.3 Effect of Termination

Upon termination:

• Your right to access the Service immediately ceases
• We may delete Your Content after 30 days
• You remain responsible for any outstanding fees
• Provisions that should survive termination will remain in effect

13. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GOXYLO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR LIABILITY, SO THESE LIMITATIONS MAY NOT APPLY TO YOU.

15. Indemnification

You agree to indemnify and hold harmless GoXylo and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Your Content

16. Dispute Resolution

16.1 Informal Resolution

Before filing any claim, you agree to try to resolve the dispute informally by contacting us at legal@goxylo.com. We will try to resolve the dispute within 30 days.

16.2 Arbitration

If we cannot resolve the dispute informally, any dispute shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in Delaware, USA.

16.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of law provisions.

18. Changes to Terms

We may modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Service after the changes take effect constitutes your acceptance of the modified Terms.

19. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and GoXylo regarding the Service.
• Severability: If any provision is found unenforceable, the remaining provisions will remain in effect.
• Waiver: Our failure to enforce any right does not constitute a waiver of that right.
• Assignment: You may not assign these Terms without our consent. We may assign our rights without restriction.
• Force Majeure: We are not liable for delays or failures caused by events beyond our reasonable control.
